Position summary

As our new Legal Counsel, you will join a high-growth tech company where you will be able to put your mark on how we provide legal support to the entire company. You will be joining our Copenhagen office as Legal Counsel but will work closely with other team members in Copenhagen, Kyiv, and very soon the US. You will play a key role in supporting our business.

Under the guidance and direction of our COO (who has a legal background with KR), you will support the commercial and compliance needs of the business, having primary responsibility for drafting and negotiating commercial contracts with customers, including outbound licenses, SaaS offerings, and other service offerings. You will also assist in drafting and negotiating agreements with other business partners, including vendors and suppliers, and will help support other compliance and corporate initiatives.

You must have excellent business judgment and strategic thinking and the ability to work independently as well as collaboratively in a collegial, fast-paced team environment. Ocean’s business requires an experienced, dynamic, and team-oriented person. Some travel may be required.

Your Responsibilities

• Drafting commercial contracts (primarily SaaS), identifying significant risks, and ultimately determining what non-standard contract terms are included in our contracts.

• Management of policies and procedures, particularly around GDPR.

• Acting as a primary interface between Legal and the sales organization, including providing strategic guidance and direction and ensuring compliance with contracting processes.

• Legal support for Field Marketing, including review of vendor agreements.

• Drafting and managing employee options agreements.

• Managing contract templates, guidelines and libraries.

• Managing internal training related to Legal Department’s policies and processes.

• Support compliance and corporate initiatives, other general corporate matters, and special projects from time to time.

Your skills

• 2–4 years experience working in-house, in a fast paced environment.

• Demonstrated experience of commercial contract negotiation, and drafting of various types of commercial agreements, e.g. subscription service agreements, license agreements and product sales and services agreements. Experience with other legal areas is an advantage.

• Experience with Privacy and Data Protection will be considered an asset.

• Ability to recognise legal and ethical risks, and communicate these effectively to colleagues and customers, and consider their impact on the wider business.

• Ability to provide pragmatic advice.

• Work well independently and be ready to support your team and other departments.

• Ability to work in cross-functional teams.

• Excellent writing and fantastic communication skills in English. Danish is not a requirement.

• Excellent organizational skills; ability to manage multiple projects at once and meet deadlines.

• A team player.

• Excellent negotiation skills in relation to contract negotiation and dispute handling.

• Relevant legal education, in any jurisdiction.
