For most small and growing companies this work is spread across spreadsheets, email threads, PDFs and accountants, and it gets harder with every new investor, convertible loan or funding round. Mistakes are easy to make and costly to fix: a wrong share number, a missing transfer or a badly documented meeting can hold up a funding round, a sale or an audit. Investors face the same problem from the other side, with no single place to see what they own and what is happening in the companies they have invested in. The problem grows as more investors invest directly in startups and small companies, and every company that raises money from many small investors multiplies the paperwork. Nexus gives the company one place where ownership lives. The digital shareholder register tracks each share by its number, as the law requires, not just by count, and keeps the history of former shareholders. On top of that sit a full cap table (share classes, options, splits, dividends), convertible loans and SLIP/SAFE agreements that can be converted into shares inside the platform, and general meetings and board meetings with notices, digital voting and minutes. For capital raises, Nexus supports share issues and investor campaigns with the investor-protection steps the EU crowdfunding rules require, such as the knowledge test, the key investment information sheet and a reflection period. Investors get their own portal, where they see their holdings, sign documents and vote.
